Panasonic Industry Agrees German and Slovak Business Transfer
Panasonic Industry business portfolio transformation is advancing through an agreement to transfer selected businesses operated by its German subsidiary Panasonic Industry Co Ltd and Slovak subsidiary Panasonic Industrial Devices Slovakia s.r.o. The company announced the agreement on August 18, following the signing of a share transfer agreement with Midas Atlantic Partners on August 17. Midas Atlantic Partners is partnered with U.S. investment firm The Najafi Companies. The transaction is scheduled to take effect on February 1, 2027, subject to approvals from local competition authorities and other government agencies. The transaction value has not been disclosed.
Businesses Covered by the Transaction
The businesses included in the transaction span several automotive, industrial and connectivity product areas. They include Battery Disconnect Units, high-voltage DC-DC converters for automotive applications, industrial power devices used in household appliances and power tools, and wireless modules. The Battery Disconnect Units and automotive high-voltage DC-DC converters are important products in the European automotive market, where proprietary control technologies are used to support the safety and reliability of battery management systems in environmentally friendly vehicles. Together, the businesses generated approximately JPY 76.0 billion in net sales during FY2025, which ended in March 2026.
Reorganization Before Completion
Before the transaction is completed, Panasonic Industry will reorganize businesses that are outside the agreed transaction scope. These operations will be transferred to a newly established, wholly owned Slovak subsidiary of the Panasonic Industry Group. The excluded businesses comprise film capacitors, low-voltage DC-DC converters for automotive applications, voltage stabilizers, and battery packs from Panasonic Energy Co., Ltd. This separation is intended to establish the business structure required before ownership of the targeted operations changes, while retaining the excluded activities within the wider Panasonic Industry Group structure.
Ownership Transfer and Strategic Focus
Following the internal reorganization, Panasonic Europe B.V. will transfer all of its shares in Panasonic Industrial Devices Europe GmbH, including its Slovak subsidiary, to a special-purpose vehicle established by Midas Atlantic Partners in partnership with The Najafi Companies. The transaction is part of Panasonic Industry’s broader portfolio restructuring as the company accelerates changes to its operations and places greater strategic emphasis on artificial intelligence. The planned transfer therefore combines portfolio reshaping with a shift in strategic priorities, while the targeted businesses continue to include products serving automotive electrification, industrial power applications and wireless connectivity.
